By accessing or using Borealis ("Service"), operated by Amaretto Software Labs ltd ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

Borealis provides compute sandboxes for running code, AI agents, and other automated workloads. The Service includes sandbox lifecycle management, terminals, logs, workspace and snapshot capabilities, managed or eligible private host capacity, and programmatic access.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activities.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit malicious code or interfere with the Service
• Attempt to gain unauthorized access to any systems
• Harass, abuse, or harm another person or entity
• Create false or misleading content
• Use automated systems to access the Service without permission

5. Intellectual Property Rights

5.1 Our Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Amaretto Software Labs ltd and its licensors. The Service is protected by copyright, trademark, and other laws.

5.2 Your Content

You retain ownership of content you create using the Service. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of operating and improving the Service.

5.3 Workload Outputs

You are responsible for the workloads you run and for reviewing, testing, and lawfully using their outputs before relying on them in production.

6. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of information as detailed in the Privacy Policy.

7. Subscription and Billing

7.1 Subscription Plans

Some aspects of the Service are provided through subscriptions, usage credits, top-ups, or contracted invoicing. Charges and included allowances are shown when you select a plan or stated in your order form.

7.2 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel your subscription at any time through your account settings.

7.3 Payment Processor

Stripe acts as the payment processor for transactions processed through the Service. Stripe handles payment processing and related billing operations on our behalf.

8. Refund Policy

Fees and consumed usage credits are generally non-refundable except where required by law or expressly stated in your order form. If you believe a charge was made in error, contact us with the relevant billing details so we can review it.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free operation of the Service.

9.2 Limitation of Liability

To the maximum extent permitted by law, Amaretto Software Labs ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service.

9.3 Indemnification

You agree to indemnify and hold harmless Amaretto Software Labs ltd from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

The Service may contain links to or integrate with third-party services. We are not responsible for the content, policies, or practices of third-party services. Your use of such services is governed by their respective terms and policies.

12. Governing Law

These Terms are governed by the laws of Bulgaria and the European Union. Any disputes shall be resolved in the courts of Varna, Bulgaria.
